Creator Network Terms of Service

1. Introduction and purpose
Stream Chasers Pty Ltd (ACN 674 595 905) (Stream Chasers, we, our or us) operates a TikTok LIVE Creator Network in Australia, New Zealand and any other territory covered by our agreement with TikTok. These Terms of Service (Terms) govern membership of the Stream Chasers Creator Network and access to the services, programs, coaching, campaigns, applications, community spaces, communications and resources we provide (Services). These Terms apply to Creators whose physical location and TikTok account region are within a territory covered by our agreement with TikTok, and territory-specific consumer, privacy and other mandatory protections apply where relevant.
These Terms are the written Creator Network Talent Agreement between Stream Chasers and each Creator contemplated by TikTok's Agency Network Policy. The description Talent Agreement is used for TikTok program purposes and does not by itself appoint Stream Chasers to bind a Creator, negotiate a third-party performance or brand agreement, receive money on a Creator's behalf, or provide a separately regulated paid representation service. TikTok is not a party to these Terms, does not employ or control Creators through these Terms, and is not responsible for resolving disputes between a Creator and Stream Chasers.
These Terms are intended to keep membership free, voluntary and easy to leave, while protecting Creators, our Personnel, TikTok, confidential network resources and the safe and effective operation of the Creator Network.
2. Definitions and document hierarchy
"Creator" - the individual TikTok account holder who applies to or joins the Stream Chasers Creator Network. An entity does not become a party unless Stream Chasers agrees in writing. Where a Creator operates through an entity, the individual account holder remains responsible for obligations that can only be performed personally.
"Content" - any livestream, video, audio, image, text, comment, message, graphic or other material created, posted, streamed or made available by or for a Creator.
"Confidential Information" - non-public information disclosed by or on behalf of a party that is confidential by its nature or the circumstances of disclosure, including the Creator Network information described in Section 11. It excludes information covered by the carve-outs in Section 11.
"Business Day" - a day other than a Saturday, Sunday or public holiday throughout New South Wales, Australia.
"Creator Network" - the Stream Chasers network on TikTok LIVE Backstage and the related Services operated by Stream Chasers.
"Personnel" - Stream Chasers' directors, officers, employees, contractors and authorised representatives.
"Platform" - TikTok, TikTok LIVE, LIVE Backstage, and any third-party platform, payment provider, analytics service, software tool or community service used in connection with the Services.
"TikTok Documents" - TikTok's Agency Network Policy, LIVE Backstage Terms of Service, the in-app Creator Network invitation or agreement, Community Guidelines, Creator Code of Conduct, campaign rules and other policies or instructions issued by TikTok from time to time.
"Agency Payments" - fees, performance payments, incentives, bonuses or other amounts paid or credited to Stream Chasers by TikTok or another third party under a separate arrangement, including amounts calculated wholly or partly by reference to Creator or network performance. Agency Payments are not Creator earnings and are not paid by, held for, or beneficially owned by a Creator. Agency Payments exclude any amount expressly designated by TikTok, the payer, applicable campaign terms or another written agreement as payable to, held for, credited to or required to be passed through to a Creator.
"Creator-Paid Fees" - fees paid from a Creator's own funds directly to Stream Chasers under a separate written agreement for a specific paid Service. Creator-Paid Fees exclude Agency Payments, TikTok or third-party payments, Creator earnings, gifts, diamonds, Platform bonuses, prizes, reimbursements, credits and any amount merely calculated by reference to Creator performance.
Hierarchy. Mandatory law applies first. To the extent of a direct inconsistency about Platform eligibility, joining, withdrawal, removal or other matters controlled by TikTok, the applicable TikTok Documents and TikTok's systems prevail. Specific written terms for a campaign, event, prize or paid commercial opportunity prevail for that opportunity only. These Terms otherwise continue to apply.
3. Eligibility
To apply for, join and remain in the Creator Network, you must at all times:
- be at least 18 years old and have legal capacity to enter these Terms;
- be in good standing with TikTok's Community Guidelines and meet TikTok's objective eligibility criteria from time to time;
- not operate a Government, Politician or Political Party account;
- be physically located, and have your TikTok account region, within a territory covered by our agreement with TikTok, and not within a US+ territory identified by TikTok;
- not be a member of another TikTok Creator Network or the TikTok LIVE Creator Community through any primary, secondary or other account;
- have completed any waiting period imposed by TikTok after leaving another Creator Network; and
- not enter into or maintain another agreement that conflicts with your membership of our TikTok LIVE Creator Network.
You may work with brands, non-LIVE talent managers and other service providers outside TikTok LIVE, provided that doing so does not breach a TikTok Document, disclose our Confidential Information, create a material conflict, or involve membership of or work for a competing TikTok LIVE Creator Network without our written consent.
You represent on an ongoing basis that you satisfy this section and must promptly notify us if that changes. We may verify eligibility, decline an application, pause onboarding, or refer eligibility questions to TikTok.
4. Acceptance, duration, changes and communications
Acceptance by continued participation. You complete TikTok's in-app steps to join the Creator Network. After those steps are completed, we send these Terms to the email address you provided during onboarding as part of your welcome email and keep them available at https://www.thestreamchasers.com/terms-of-service. The welcome email explains that these Terms govern your participation in the Creator Network and use of the Services. No separate signature, reply or "I agree" message is required. TikTok's in-app joining steps do not by themselves constitute acceptance of these Terms. Forty-eight hours after the welcome email becomes capable of being retrieved under the Notices and official channels paragraph below, you accept these Terms by then taking positive steps to participate in the Creator Network or use the Services. Those steps include accessing a private network space or resource; connecting or corresponding with your assigned manager or another Personnel member; requesting or receiving coaching, support or escalation; participating in a campaign, competition, event or other network activity; accepting a network benefit or opportunity; or otherwise communicating or engaging with Stream Chasers in your capacity as a network Creator. Use of a Service during the first 48 hours does not alone constitute acceptance unless you take a further step of this kind after that period. Mere completion of TikTok's in-app joining steps, passive receipt of a notice, or independent streaming on TikTok does not by itself constitute acceptance. Nothing in this section limits or delays acceptance by express agreement: where you expressly agree to these Terms in writing or electronically, including by ticking a box or clicking acceptance during onboarding, you accept these Terms at that time. If you do not agree, you must stop using the Services and may leave under Section 8 without any fee, charge or penalty.
Duration and end of agreement. These Terms start when accepted by continued participation or use under this section and continue until your membership ends in TikTok's systems. Although TikTok's Agency Network Policy states that leaving a Creator Network does not automatically affect a separate talent agreement, you and Stream Chasers expressly agree that this Talent Agreement ends automatically when your exit from Stream Chasers takes effect in TikTok's systems, except for provisions that expressly survive.
Changes. We may revise these Terms for legal, TikTok policy, safety, operational or service reasons. We will give at least seven days' notice of a material change. We may give shorter notice, of no less than three days, only to the extent reasonably necessary to comply with law, a TikTok requirement, an urgent safety issue or an immediate operational risk. A change will not apply retrospectively, remove an accrued right, create liability for past conduct or expand an indemnity in relation to a past event unless required by law or TikTok. The notice will identify the effective date and link to the updated Terms. If you do not agree, you may leave under Section 8 before the change takes effect without charge. Continuing to use the Services after the effective date constitutes acceptance of the updated Terms. For a Creator already bound by an earlier version, this paragraph governs an update and no new onboarding email, signature or reply is required.
Notices and official channels. We may send contractual, operational or service notices by email, TikTok direct message, SMS, a direct message through our official community server, or another official channel identified by us in writing. A notice may contain a link to the full notice or updated Terms. We may use the latest email address, mobile number, TikTok account or other contact detail you have provided or used with us. A notice is taken to be received when it becomes capable of being retrieved at that address, account or number, unless we receive a delivery-failure notice; if sent after 5:00 pm Sydney time, it is taken to be received on the next Business Day. You must keep your details current and regularly check the official channels you use with us. You may send notices to us by email, TikTok direct message, SMS to our company number, or another official channel we identify.
Informal communications. Informal personal messages from Personnel do not amend these Terms or guarantee an outcome, opportunity, payment, escalation or result unless confirmed in writing by an authorised Stream Chasers director through an official channel. Messages from a Personnel member's personal account or number are not company notices or commitments unless that account or number has been designated by us as an official channel, or the message expressly states that it is being sent in the Personnel member's authorised Stream Chasers capacity. If you are unsure whether a message is genuinely from Stream Chasers, verify it through an official channel before acting on it. Nothing in this paragraph limits responsibility for statements that cannot lawfully be excluded.
Channel of correspondence. We may choose the reasonable channel through which a matter is handled. We may decline telephone or video calls and require correspondence to be in writing, including by email, TikTok direct message, SMS or our community server, so that an accurate record can be maintained.
Records of communications. We may retain emails, direct messages, SMS messages, voice messages, attachments, internal notes and written summaries of communications for operational, safety, compliance, training, dispute and legal purposes. We may require a verbal discussion to be confirmed or continued in writing. A call or meeting will be recorded only where notice or consent is given as required by applicable law.
Response times. Personnel generally work business hours on business days in Sydney, Australia. We do not guarantee a response within a particular period, and messages outside business hours may not be seen until the next business day. For urgent Platform issues use TikTok support. For immediate danger contact emergency services.
Accounts and security. You must provide accurate information, protect your login credentials and promptly notify us of unauthorised use. You are responsible for activity performed through credentials you control, except to the extent caused by our systems, TikTok, a third-party security failure, or activity occurring after you promptly notified the relevant provider of unauthorised access.
5. Services and our commitments
Depending on eligibility, availability, TikTok requirements and our operational capacity, the Services may include:
- talent scouting, applications, eligibility checks and onboarding;
- content, growth, gaming setup, battle and LIVE strategy;
- optional one-to-one coaching and stream check-ins;
- campaign administration, briefs and performance guidance;
- routing campaigns, events, bonuses, prizes, features and opportunities offered by TikTok, us or third parties;
- resource hubs, training, templates, calculators, analytics and community spaces;
- assistance with account, ban, appeal, LIVE access and technical issues, subject to TikTok's policies and decisions; and
- optional incentives, physical rewards and merchandise.
Our commitments. We will act in good faith and with commercially reasonable care in providing the Services, use commercially reasonable efforts to represent Creator interests when dealing with TikTok or third parties, and not unlawfully discriminate in providing Services or allocating opportunities.
The scope and availability of Services may differ between Creators and may change over time. We may decide whether, when, how and to whom a Service is offered and may modify, replace, suspend or discontinue a Service where reasonably necessary for legal, TikTok policy, safety, capacity, performance, commercial or operational reasons. We will give reasonable notice where practicable if a change materially affects Creators. Eligibility, similarity to another Creator, previous receipt of a Service or inclusion in a trial does not create an entitlement to the same or continued treatment.
Pilots and trials. We may pilot, test or trial new Services, programs, features, support models or eligibility settings with selected Creators. Participation is discretionary, may be subject to separate criteria, and does not create an entitlement for the participant or any other Creator. A pilot or trial may be modified, expanded, restricted, suspended or discontinued at any time for a legitimate operational, commercial, safety, legal or TikTok-related reason.
No Service, statement of eligibility, past practice, assistance, escalation or allocation creates an entitlement to a particular outcome, response time, campaign, account decision, event, bonus, feature, prize, escalation, audience size, income, growth result or continued Service.
6. Relationship, independence and responsibility
Independent relationship. Membership itself does not engage you to perform work for Stream Chasers, create an employment relationship, or make you our worker, contractor, agent, partner, joint venturer, fiduciary or franchisee. If we separately engage you for a specific paid deliverable, that arrangement must be recorded in a separate written agreement and does not change the nature of ordinary Creator Network membership.
Control and choice. You decide whether, when, where and how to stream, what Content to make, whether to participate in any campaign or opportunity, and whether to act on coaching. We do not set mandatory streaming hours, shifts, schedules or general performance targets. We may set optional milestones, rankings, targets or activity criteria for voluntary competitions, incentive programs, coaching challenges and campaigns. Those criteria apply only to the relevant optional activity and do not create mandatory work, minimum hours, wages or employment obligations. You may decline an opportunity or optional activity without that decision alone ending your membership or breaching these Terms. You generally provide your own equipment, moderators, guests and production resources and bear your own business costs and risk.
Personnel titles. Stream Chasers may describe itself as a talent management agency and Personnel may use titles such as Manager, Creator Manager, Talent Manager or Coach. These are industry descriptions of their role in managing network operations, programs, communications and opportunities. They do not give Personnel authority to direct, supervise or control your account, Content, streams, business or off-platform life.
Your responsibility. You are solely responsible for your account, Content, livestreams, statements, conduct on and off the Platform, business decisions and compliance obligations. You are also responsible for moderators, co-hosts and guests you authorise on your account, host on your stream or bring to an event. You are responsible for your tax, GST, business registration, insurance, superannuation, ACC and other obligations imposed on you by law. Each party remains responsible for any statutory obligation legally imposed on it.
No wages or employment benefits. Ordinary membership does not entitle you to wages, salary, minimum hours, leave, workers compensation, superannuation, KiwiSaver, redundancy, unfair dismissal rights or any other employment benefit from Stream Chasers. Nothing in these Terms excludes a statutory right that cannot lawfully be excluded or determines legal status contrary to the true nature of the relationship.
No endorsement or control. Providing Services to a Creator is not an endorsement, approval, sponsorship, character reference or warranty of that Creator, their Content, views or conduct. We do not commission, script, approve, supervise or control ordinary Creator Content. We cannot interrupt, end or shut down a LIVE, remove Content from TikTok, control what a Creator says or does, or prevent misconduct in real time. Those powers sit with the Creator and TikTok. We are not responsible for a Creator's acts or omissions merely because the Creator is or was a member of the Creator Network.
No authority. You have no authority to act for, bind, represent or make commitments on behalf of Stream Chasers, and must not hold yourself out as our employee, agent, spokesperson or authorised representative. No statement by another Creator is a statement by Stream Chasers.
7. Free membership and no entitlements
Membership is free and voluntary. We do not charge joining fees, subscriptions or commissions and do not take a share of, or make deductions from, gifts, diamonds or other Creator earnings paid by TikTok. TikTok pays Creator earnings directly to Creators. TikTok may separately make Agency Payments to Stream Chasers, and those payments do not reduce Creator earnings.
Agency Payments belong exclusively to Stream Chasers. A Creator has no ownership, beneficial, trust, accounting or other proprietary interest in an Agency Payment, even if TikTok calculates it partly by reference to that Creator's activity or performance. This paragraph applies only to an amount that falls within the definition of Agency Payments and does not apply to an amount expressly designated as payable to, held for, credited to or required to be passed through to a Creator. We may choose to use part of an Agency Payment to provide Creator incentives, gifts, merchandise, competitions or cash prizes. Unless confirmed in specific written terms, these are discretionary goodwill benefits, not wages or guaranteed entitlements, and may be changed, corrected, withheld or withdrawn for legitimate operational, legal, budget, eligibility, compliance or TikTok policy reasons.
Incentive corrections. Specific incentive or competition terms may permit us to recalculate, withhold or recover an incentive paid directly by Stream Chasers where TikTok reverses or corrects relevant data or Agency Payments, there was an administrative error or duplicate payment, eligibility criteria were not met, or the result involved fraud, artificial activity or a material rule breach. We will explain a material correction where reasonably practicable. This paragraph does not authorise us to deduct from Creator earnings paid by TikTok.
You are responsible for costs you incur in streaming, creating Content, attending events or participating in opportunities unless we approve the relevant cost in writing before it is incurred. No Creator has an entitlement to remain in the Creator Network or to receive a particular Service, campaign, opportunity, bonus, event, reward or benefit.
Separate representation and paid arrangements. Ordinary membership does not authorise Stream Chasers to enter an agreement on your behalf, negotiate binding terms for a third-party performance or brand engagement, receive or hold Creator earnings or other money on your behalf, or charge Creator-Paid Fees. Any arrangement involving those activities, paid managerial or representation services, or a specific paid deliverable must be recorded in a separate written agreement or deal confirmation and must comply with any applicable entertainment-industry, employment, consumer, tax and trust-account requirements. Nothing in these Terms permits either party to avoid a mandatory legal requirement.
8. Leaving the Creator Network
Leaving is free. You may leave at any time without any fee, charge, penalty, repayment or payment to Stream Chasers. Platform exit must be completed through TikTok's Agency Centre or other in-app process. A message to us alone does not complete the Platform withdrawal, but we will assist with the process where reasonably practicable.
8.1 First 15 days
At the effective date of these Terms, TikTok's Agency Network Policy allows a Creator who has been in the Creator Network for 15 days or less to leave immediately by selecting Withdraw in the Agency Centre. TikTok controls this functionality and may change it.
8.2 After 15 days - mutual withdrawal
If you have been in the Creator Network for more than 15 days, you may submit a mutual withdrawal application through TikTok. We will accept every valid mutual withdrawal application that is within our control as soon as reasonably practicable, normally within two Business Days and, where TikTok's systems permit, within TikTok's applicable negotiation period. A valid application is one submitted through TikTok's correct process, associated with the relevant Creator account, not withdrawn by the Creator and not blocked by a Platform restriction outside our control. Once accepted in TikTok's systems, the timing and effect of exit and any ability to join another Creator Network are governed by TikTok's then-current rules and systems.
TikTok may impose limits on repeat mutual withdrawal applications after a rejection, expiry or withdrawal. Because our policy is to accept valid requests, a limitation should ordinarily arise only from Platform mechanics, an invalid application, a request withdrawn by the Creator or circumstances outside our reasonable control.
8.3 Notice-period option
At the effective date of these Terms, TikTok also allows a Creator to choose a notice-period route without first seeking mutual agreement and may impose a further waiting period before the Creator can join another Creator Network. We do not require Creators to use that route where a valid mutual withdrawal route is available, and we do not control any TikTok notice or waiting period. TikTok's then-current documents and systems determine the available routes and timeframes.
8.4 Withdrawal, processing and automatic exit
You may withdraw a pending exit application through TikTok to remain in the Creator Network, but a later request may need to restart TikTok's process. Exit takes effect when processed in TikTok's systems. Any Platform delay or waiting period is a TikTok mechanism, not a fee or retention measure imposed by us.
Membership may also end automatically when an invitation duration expires without renewal, our services agreement with TikTok ends, your account region changes to a territory excluded by these Terms or TikTok, or TikTok removes you. Where our agreement with TikTok ends, we will take reasonable steps to inform affected Creators.
These Terms continue until exit is effective. Once effective, this Talent Agreement ends automatically except for the provisions identified as surviving in Section 19.
Term and renewal. Your TikTok invitation may set a fixed membership term (for example, three years). A fixed term is a maximum duration only and is not a lock-in: you may still leave at any time under Section 8. As expiry approaches, we may contact you through official channels with an opportunity to renew. Renewal occurs only if you accept a new invitation or complete TikTok's renewal process; membership does not renew automatically. If you renew or re-join, the version of these Terms current at that time applies from renewal and, where there is no break in membership, applies continuously. If your term expires without renewal, your membership ends and the exit provisions of these Terms apply.
9. Creator conduct
This section is a condition of membership. It applies to conduct on the Platform and in network-connected contexts, including community spaces, messages, emails, calls, campaigns and events. Off-platform conduct is relevant only where it has a material connection with the Creator Network, another Creator, our Personnel, TikTok, Platform integrity, safety, compliance, or our legitimate reputation and business interests.
9.1 Platform rules and law
You must comply with applicable law and the TikTok Documents, including TikTok's Terms of Service, Community Guidelines, Creator Code of Conduct and campaign rules. You must not engage in or promote unlawful activity, hate speech, harassment, bullying, exploitation, scams, extortion, sexual misconduct, child exploitation, violent or extremist conduct, dangerous activity, prohibited drug or weapons content, self-harm content, or other conduct prohibited by law or TikTok.
9.2 Platform integrity
You must not engage in, encourage or assist artificial, deceptive or fraudulent Platform activity, including bots, scripts or automation to inflate metrics; invalid, looped or unattended livestreaming; purchased engagement; coordinated or reciprocal gifting intended to manipulate rankings or bonuses; falsified analytics; account impersonation; or evasion of a Platform restriction.
9.3 Conduct toward Creators and Personnel
You must treat Creators, Personnel, venue staff and others you interact with through the Creator Network with basic respect and professionalism. You must not engage in harassment, bullying, intimidation, threats, hate speech, discriminatory abuse, sexual harassment, doxxing, publishing private personal information, malicious pile-ons or brigading, or knowingly false factual statements about another Creator, Stream Chasers or Personnel. This paragraph is subject to the Protected rights and disclosures paragraph in Section 19.
Personnel are entitled to a safe working environment. Abusive, threatening, persistently degrading or sexually inappropriate conduct toward Personnel may result in immediate communication restrictions, suspension or removal. Sexual advances, propositions, innuendo, sexual comments directed at Personnel, or sending sexual material to Personnel are prohibited.
9.4 Protecting the network's peace
The Creator Network works because Creators can stream, collaborate and grow without being drawn into one another's public conflicts. This section exists to protect that peace for everyone, including you.
Keep disputes off the public stage: raise concerns through private channels, use TikTok's reporting tools where they apply, and disengage rather than escalate. You must not engage in conduct that materially harms, or is reasonably likely to materially harm, the safety of Creators or Personnel, the peaceful and safe operation of the Creator Network, our relationship with TikTok, or Stream Chasers' reputation. Lawful private conduct with no material connection to the Creator Network is not regulated by this clause.
Sustained public drama, feuds or conflict can materially disrupt the community even where the underlying dispute is contested. Where we reasonably consider that continued involvement of one or more people is likely to create material safety, operational, TikTok relationship or reputational risk, we may, to protect the network's peace, restrict participation, separate parties or remove any or all Creators involved, regardless of who started the conflict and without deciding legal or moral fault.
9.5 No circumvention, leakage or malicious coordinated conduct
You must not:
- help a removed, excluded or ineligible person gain unauthorised access to private network spaces, resources, opportunities or Confidential Information;
- help a person evade removal, eligibility requirements or restrictions through another account, identity or person;
- act as a conduit for non-public network information or private communications to a person not authorised to receive them;
- organise or knowingly participate in false, fraudulent, threatening or malicious coordinated conduct against Stream Chasers, Personnel or a Creator, including fabricated mass reports, review-bombing, harassment campaigns or campaigns built on unlawfully obtained private communications; or
- after receiving a specific written preservation request, intentionally conceal, alter or destroy information reasonably relevant to a compliance assessment or legal obligation.
This section does not prohibit ordinary friendship or social contact, truthful criticism or reviews, good-faith complaints, lawful collective representations, obtaining legal or professional advice, preserving evidence, reporting to TikTok, police, a regulator or a court, or participating honestly in a legal, regulatory or Platform process.
9.6 Information, legal matters and cooperation
While you are a member, you must provide truthful and reasonably complete information that we reasonably request for eligibility, identity verification, delivery of Services, TikTok compliance, safety, assessment of a material network issue, or the establishment, exercise or defence of a legal claim. A request must be reasonably connected to the Creator Network and allow a reasonable response period having regard to urgency. Nothing in this section requires you to make an unlawful disclosure, breach legal professional privilege or another binding duty of confidence, waive a privilege against self-incrimination, or provide material you are legally prohibited from providing. Where only part of the requested information is protected, you must provide the non-protected part where reasonably practicable.
To the extent you are lawfully able to do so without waiving privilege or materially prejudicing your legal rights, you must promptly notify us of a material legal claim, regulatory inquiry or serious allegation that is reasonably connected with your TikTok account, Platform eligibility, the Creator Network, Stream Chasers, another network Creator, or conduct that could materially affect our relationship with TikTok. You are not required to disclose unrelated private legal or personal matters.
After exit, cooperation duties apply only to matters arising from your membership or pre-exit conduct, information already supplied, a legal preservation duty, a TikTok requirement, or the establishment, exercise or defence of a legal claim, and remain subject to the privilege and lawful-disclosure protections above. Information collected under this section will be used only for those purposes, operating the Creator Network, meeting TikTok obligations, safety, or as required or authorised by law and our Privacy Policy.
9.7 Enforcement, interim measures and disputes
We may use reminders, written warnings, correction periods, temporary restrictions, suspension or removal. We may act immediately without warning where conduct involves or appears to involve serious safety risk, minors, illegal activity, sexual misconduct, violence, threats, fraud, artificial engagement, serious harassment, confidentiality breaches, circumvention, another Creator Network, a TikTok direction, or another matter we reasonably consider creates serious risk.
A report, complaint or submission does not automatically start a disciplinary process or require a particular outcome, except where law or a TikTok obligation requires action. We may decide what to review, how to review it and what weight to give it. We may discount material that is anonymous, duplicative, coordinated, submitted in bad faith, unauthenticated, unreliable, incomplete, staged, selectively edited, manipulated or materially out of context.
Without removing a Creator, we may reasonably restrict communication channels, assign a single contact person, remove someone from group spaces, pause non-essential communications, or separate people across campaigns, events and community spaces. These are risk-management decisions, not findings of wrongdoing.
We do not provide a court, tribunal, mediation or investigation service for disputes between Creators, moderators, followers or third parties. Any review we undertake is for deciding network participation, safety and compliance only. An action, inaction or communication by us is not a finding of fact, legal conclusion, endorsement of an allegation, or advice to any person.
9.8 Reporting concerns, external reporting and evidence
You may raise a concern with us through an official channel. Reports made to Stream Chasers are received only for the purpose of managing Creator Network participation, safety, compliance, our obligations to TikTok and our legitimate business interests.
Stream Chasers is not a police service, regulator, court, legal adviser, Platform moderation team or independent investigative body. We do not promise to investigate a report, gather evidence, interview witnesses, mediate a dispute, determine whether an allegation is true, decide legal or moral fault, enforce the law, obtain the removal of Content, or provide the protection or remedies that police, courts, regulators or the Platform exist to provide. We may decide whether to undertake a limited internal review and what action, if any, is appropriate for the Creator Network. Any action or inaction by us is a network-management decision only and is not a finding of fact or legal conclusion. Except where law or a TikTok obligation requires otherwise, submitting a report does not require us to commence a process or reach a particular outcome.
Where a concern involves TikTok Content, an account, a LIVE, harassment, threats, impersonation, fraud or another Platform issue, the person should use TikTok's in-app reporting and support functions and, where appropriate, TikTok's relevant legal reporting channel or web form. A serious or potentially unlawful matter should also be reported to the appropriate external body, which may include:
- police or emergency services;
- Crime Stoppers, where the person wishes to provide information about suspected criminal activity;
- the eSafety Commissioner in Australia;
- Netsafe in New Zealand;
- another relevant regulator, authority or professional adviser; or
- a qualified lawyer where legal rights, court orders, defamation, privacy, threats, evidence preservation or other legal issues may be involved.
A report to Stream Chasers is not a substitute for any Platform, police, regulatory or legal report, does not transfer responsibility for the matter to us, and does not pause any reporting deadline, limitation period or requirement to take steps elsewhere.
We handle reports discreetly by default and disclose information only as reasonably necessary for safety, fair handling of the matter, TikTok requirements, legal advice, insurance, compliance or law. If your identity is particularly sensitive, tell us and we will take that into account. We cannot guarantee anonymity or confidentiality, and reviewing or acting on a report may make its source apparent. Retaliation against a person who raises a concern in good faith is prohibited. Knowingly false, fabricated or malicious reports breach these Terms.
You are responsible for safely preserving evidence you may require for a Platform report, police report, regulatory complaint or legal advice. Do not download, retain or redistribute material where doing so may itself be unlawful or unsafe. Stream Chasers is not a general evidence-storage or evidence-review service. Unless we specifically request material or are required to receive or retain it, we may decline to open, review, verify or store screenshots, recordings, documents or other submissions and may direct the sender to an appropriate external channel. Material sent to us is not treated as assessed, verified or acted upon merely because it was delivered.
We may retain reports or material where reasonably necessary for safety, compliance, TikTok obligations, insurance, recordkeeping, dispute management, or the establishment, exercise or defence of legal claims. We may also disclose or report information to TikTok, police, a regulator, an insurer, a professional adviser or another appropriate body where reasonably necessary or required or authorised by law. Nothing prevents a person from preserving evidence or providing it to a professional adviser, Platform, regulator or authority in good faith.
10. Removal from the Creator Network
Removal by Stream Chasers. TikTok's Agency Network Policy permits a Creator Network to remove a Creator from its network at any time. Consistently with that policy, Stream Chasers may suspend or remove a Creator from the Creator Network at any time, with or without prior notice, where we reasonably determine, acting honestly and for a legitimate purpose connected with the Creator Network, that continued membership is no longer appropriate for the interests, operation or direction of Stream Chasers or the Creator Network. We are not required to establish a breach of these Terms, misconduct, legal fault or moral fault before exercising this right.
Reasons may include, without limitation, safety, legal or compliance concerns; Platform eligibility or integrity; conduct or reputational risk; public conflict; loss of trust or relationship fit; extended inactivity, ordinarily 3 months or more; confidentiality concerns; our capacity or ability to provide appropriate Services; a change in our strategy, operations or relationship with TikTok; a TikTok direction or request; or any other legitimate business, operational, welfare, safety or compliance reason.
These examples are not exhaustive. Removal may be immediate and without prior warning. Unless required by law, we are not required to conduct a formal investigation, follow a disciplinary process, provide an appeal, establish fault or provide detailed reasons. We may provide a brief explanation where reasonably practicable and appropriate, but are not obliged to disclose information that could compromise privacy, safety, legal privilege, a reporting person, TikTok information, confidential methods or an internal review. A warning, earlier decision not to act, continued provision of Services or previous accommodation does not prevent later suspension or removal.
A removal decision determines participation only. It is not a finding that any allegation is true, that a person is legally at fault, or that a Creator lacks talent or future potential. Membership is free, Creators may leave at any time under Section 8, and neither party has an entitlement to continuation of the relationship.
TikTok may also remove a Creator immediately under its own policies and systems. A TikTok removal is TikTok's action, even if we receive or communicate the notice.
Effect of exit. On any exit, participation in current and future network campaigns, bonuses, events and opportunities may end; access to private resources, group spaces, courses and materials ends; and you must remove Stream Chasers branding as required by Section 12. Accrued rights and separately confirmed payment obligations are not affected.
11. Confidentiality and limited non-solicitation
Mutual confidentiality. Each party must protect the other party's Confidential Information and use it only for the Creator Network, the Services, TikTok obligations, safety, compliance or legal purposes. We will handle Creator confidential and personal information subject to applicable privacy law and as described in Section 13 and our Privacy Policy.
Creator Network Confidential Information includes non-public TikTok program terms, fee and reward structures, campaign briefs, commercial terms, private group communications, internal processes, training resources, security information, Personnel information, and non-public information about another Creator such as earnings, statistics, identity or personal circumstances. It forms part of Confidential Information for the purposes of these Terms.
You must not publish, leak, sell, distribute or provide Creator Network Confidential Information to an unauthorised person, including a competing network or manager. You may use it only for your participation in the Creator Network and only while authorised.
Carve-outs. Confidentiality does not apply to information that is lawfully public; was already lawfully known without restriction; is independently developed; is lawfully received from another source without a duty of confidence; is your own earnings or your own experience; is disclosed confidentially to professional advisers; or is disclosed in good faith to TikTok, police, a regulator, authority or court. You may preserve private material as evidence and disclose it where reasonably necessary for legal advice, safety, a complaint or a lawful process, but must not publish it more broadly than reasonably necessary.
Limited non-solicitation. While you are a member and for three months after exit, you must not use relationships or Confidential Information obtained through Stream Chasers to directly and intentionally solicit a Creator or Personnel member with whom you had material dealings through the Creator Network to leave Stream Chasers for a competing TikTok LIVE Creator Network or directly competing creator-network venture.
This does not restrict general advertising not targeted at Stream Chasers people, responding to an unsolicited approach, pre-existing relationships, giving a truthful reference, discussing your own experience, a person independently choosing to leave, or your own career after exit. The restriction applies only to the extent reasonably necessary to protect Stream Chasers' confidential information, workforce stability and Creator relationships and only to the extent enforceable by law.
Confidentiality survives while the information remains confidential. The non-solicitation period is limited to the three months stated above. A breach may result in removal and, where appropriate, legal remedies available under law.
12. Intellectual property, publicity and branding
Creator Content. You retain ownership of your Content. To the extent you own or are authorised to grant the relevant rights, you grant Stream Chasers a worldwide, non-exclusive, royalty-free licence, with the right to permit our Personnel, service providers and TikTok to use those rights as reasonably necessary, to use your name, handle, profile image and likeness as they appear publicly on TikTok, your publicly available performance information (such as rankings, campaign results, milestones and league standings), and short excerpts or stills of your public Content, including cropping, resizing, captioning, branding and editing for format, to provide the Services; celebrate and promote you and the Creator Network in organic content such as Creator spotlights, congratulatory posts and event recaps; and report to TikTok.
Beyond that, we ask first. We will seek your permission before reposting or recreating your Content in full, featuring you in paid advertising, or preparing a testimonial, case study or award submission about you, in addition to the separate approvals below. We must not materially distort your Content or use it in a way that falsely attributes a statement or materially misrepresents your performance, views or relationship with Stream Chasers.
Separate promotional approval. Separate written approval is required before we use a testimonial, endorsement or scripted promotional statement created specifically for Stream Chasers; run advertising through or from your account through whitelisting, Spark Ads or a similar account-authorised feature; materially simulate or alter your voice or likeness using synthetic media; or present you as personally endorsing Stream Chasers beyond factual statements about your membership, participation, achievements or publicly available performance. Ordinary Creator spotlights, congratulatory content and event recaps using public information under the licence above do not require separate approval.
The licence for new named publicity ends on exit or earlier written withdrawal of permission for new named publicity. Materials already lawfully created, booked or published may remain in historical posts, archives, award submissions, internal records, existing case studies and an advertising campaign already in flight for a reasonable wind-down period. We will not create new named paid advertising featuring you after exit without separate consent. We will consider reasonable requests to remove outdated public promotional material where practicable, subject to recordkeeping, contractual commitments, platform limitations and legitimate historical use.
Stream Chasers materials. Our logos, guides, templates, graphics, training, software, systems and other materials remain our property or that of our licensors. We grant you a limited, revocable, non-transferable licence to use them for your own Creator activities, including monetised Creator Content, while authorised. You must not sell, sublicense, commercially redistribute, copy at scale, share outside authorised network spaces, remove ownership notices, or use them to operate or assist a competing network.
Our name and marks. The Stream Chasers name, logo and branding may be used only with our written consent and in the approved form. Consent is limited, revocable and non-transferable. You must remove our branding promptly on request and on exit. Use of either party's name or material does not create employment, agency, sponsorship or endorsement beyond the permitted purpose.
13. Privacy and data
Information we collect. We may collect contact, age, identity and eligibility information; TikTok usernames, account identifiers and public profile information; LIVE analytics, diamonds, league, campaign and earnings-related insights available through TikTok's agency tools; communications with us; participation records; event and prize information; technical and security data; and information contained in reports or reasonably obtained from TikTok, public sources, third-party tools or other people.
Sensitive information. We collect sensitive information only where it is reasonably necessary for a lawful function or activity and the individual has given the consent required by law, or where another lawful exception applies. We seek to minimise collection and do not treat the public availability of information as unrestricted permission to collect or use it for any purpose.
Purposes. We use personal information to assess and verify eligibility, onboard Creators, provide coaching and resources, operate community spaces, administer campaigns, incentives, events and prizes, communicate with Creators, support account issues, allocate opportunities, protect safety and integrity, assess material concerns, meet TikTok and legal obligations, maintain records, manage disputes and legal claims, and improve and report on the Creator Network.
Disclosures. We may disclose information to TikTok and its related entities; providers that host, secure, analyse or support the Services; event, campaign, prize and delivery partners where needed for participation; professional advisers, insurers and auditors; authorities and regulators; and others where required or authorised by law. We will not sell Creator personal information.
Overseas handling. TikTok and some service providers may handle information outside Australia or New Zealand. We will take the steps required by applicable privacy law in relation to overseas disclosures, which may include reasonable contractual or other safeguards, confirming comparable protection, or seeking specific informed authorisation where required. Our Privacy Policy or an applicable collection notice will identify likely overseas locations where practicable.
Indirect collection notices. Where required by applicable privacy law, we will take reasonable steps to notify a Creator when we collect personal information about them indirectly, including from TikTok, public sources, reports or analytics tools, unless a lawful exception applies.
Security and retention. We will take reasonable steps to protect personal information from misuse, interference, loss and unauthorised access, modification or disclosure. We retain information only for as long as reasonably necessary for the purposes above, TikTok settlement periods, legal and tax records, safety, disputes and the establishment, exercise or defence of claims. When information is no longer required for a lawful purpose, we will take reasonable steps to delete or de-identify it, subject to any legal or court-ordered retention obligation.
After exit, TikTok may allow us limited access to historical LIVE Backstage analytics for settling agency payments or legal claims. We will not treat that as continued network membership and will handle retained information under this section and our Privacy Policy.
Aggregated information. We may use statistics that are aggregated or de-identified for benchmarking, reporting and marketing, taking reasonable steps to reduce the risk that an individual Creator can be re-identified.
Your rights. Our Privacy Policy at https://www.thestreamchasers.com/privacy explains how to access or correct information, make a complaint, and obtain more information about collection, disclosure, retention and overseas handling. Where consent is legally required for a particular use, we will seek it specifically rather than relying only on continued membership.
14. Coaching, support and wellbeing scope
Our coaching, check-ins, training, resources and support relate to Content, streaming, growth, Platform features and operation of the Creator Network. They are general, optional and not guarantees. You decide whether and how to act on them and remain responsible for your Content, decisions and results.
Career and spending decisions. Network membership, past earnings and examples of Creator success are not promises of future income or career stability. Decisions to leave or reduce other employment, incur debt, purchase equipment, relocate, travel, hire assistance or otherwise rely financially on streaming are yours alone. You should obtain appropriate professional advice before making material financial, tax, employment or business decisions.
Stream Chasers and Personnel do not provide medical, mental health, counselling, psychological, legal, financial, tax, employment, security or crisis services. Nothing we say is professional advice in those fields. Any informal comment about interpersonal conflict or creator drama is general only and is not an investigation, mediation, legal assessment or instruction.
We do not routinely monitor LIVE streams, Content, personal circumstances or wellbeing and have no ability or obligation to do so. Awareness of an incident cannot be assumed from network membership, analytics access, a prior report or the presence of Personnel in a community space.
If a person is at immediate risk, contact emergency services - 000 in Australia or 111 in New Zealand - or another appropriate local service. Additional reporting pathways and support information are available at https://www.thestreamchasers.com/safety. Nothing in this section excludes rights or liability that cannot lawfully be excluded.
15. Opportunities, campaigns, estimates, expenses and events
Allocation. TikTok decides which opportunities it creates and may control who receives them. Where an opportunity originates from us or we have an allocation role, we may select Creators using legitimate factors such as eligibility, campaign fit, performance, audience, content category, location, availability, reliability, conduct, compliance, prior participation, brand requirements, Creator welfare, capacity and TikTok instructions. We may weigh those factors differently for different opportunities and are not required to use a mechanical or identical process. We will not unlawfully discriminate. Eligibility, prior selection or selection of a similar Creator does not create an entitlement to an opportunity or to reasons for a selection decision.
Optional participation. Campaigns, events, battles, workshops, promotions, competitions and other opportunities are optional unless a separate written agreement says otherwise. We do not set mandatory streaming hours, schedules or general targets. TikTok, a third party or Stream Chasers may set optional activity thresholds, targets, milestones, rankings or scoring criteria for a particular campaign, competition or incentive. Choosing not to participate or not reaching an optional target does not by itself breach these Terms or end membership, although it may affect eligibility for that particular opportunity or reward.
Estimates. Any example or estimate of earnings, diamonds, bonuses, audience growth, campaign performance or rewards is illustrative only and is not a promise, forecast or guarantee. TikTok or the relevant third party sets, calculates and pays Creator earnings and campaign benefits unless we expressly agree otherwise in writing.
Campaign and commercial terms. Specific campaigns, prizes and opportunities may have additional terms. You must follow the applicable brief, Platform rules, advertising and disclosure laws, and any brand-safety requirements. Where a brand or third party contracts directly with you, that party is responsible for its obligations. A paid deliverable for Stream Chasers or a brand must be covered by a separate written agreement or deal confirmation addressing deliverables, payment, usage rights and other material terms.
Stream Chasers competitions and incentives. A competition, leaderboard, challenge, prize or incentive we operate may have separate written terms covering eligibility, entry period, scoring, targets, ranking, tie-breaks, prizes, notification, claim deadlines, disqualification, substitutions, cancellations and treatment of Platform errors or reversed data. We may verify results and disqualify artificial, fraudulent, coordinated or rule-breaching activity. We will not materially change published scoring or winner criteria after an activity begins except where reasonably necessary to comply with law, TikTok requirements, safety, an obvious error, Platform failure or circumstances outside our reasonable control, and any change will be communicated as soon as reasonably practicable.
Taxes and reporting. Creators are responsible for tax, GST and reporting obligations arising from prizes, cash incentives, gifts, merchandise, travel or other benefits. We may request tax or identity information, report amounts, or withhold an amount where required by law. Unless specific written terms say otherwise, a prize or benefit is not increased to compensate for tax.
Expenses. Unless we approve an expense in writing before it is incurred, you are responsible for travel, accommodation, meals, parking, equipment, companions, additional nights, upgrades, cancellations, no-shows and personal costs. Written approval may set a budget, travel class, approved nights, booking method, receipt requirements and claim deadline. We are not required to reimburse an amount outside the written approval.
Events. Attendance at an online or in-person event is voluntary. You must comply with venue rules, event terms, reasonable safety and operational directions, Section 9, and any TikTok event policy. We may refuse entry or remove a person from an event where reasonably necessary for safety, capacity, compliance, disruption or venue requirements, separately from any network-membership decision.
Creators are responsible for guests they invite or bring. Adult guests must separately accept any attendee terms, image release or filming notice that applies to them. A Creator cannot consent on behalf of another adult. Events may be photographed or filmed where clearly notified, and our use of a Creator's name, image, voice, Content or likeness in that material is governed by Section 12 and any event-specific terms.
16. Platform dependency and disclaimers
The Creator Network depends on TikTok, which controls the Platform, eligibility, features, analytics, bans, restrictions, appeals, rates, gifts, diamonds, payments, bonuses, campaign rules and technical systems. We may assist, provide information or escalate a matter, but cannot guarantee that TikTok will review it, respond, reverse a decision, restore an account, pay a particular amount or deliver a particular feature or result.
TikTok pays Creator earnings directly to Creators. We do not hold or process ordinary Creator gifts, diamonds or Platform earnings. We are not responsible for TikTok acts, omissions, outages, payment calculations, eligibility decisions, enforcement, policy changes or system failures except to the extent responsibility cannot lawfully be excluded.
If our agreement with TikTok is suspended, changed or ends, if TikTok changes the Creator Network program, or if a third-party service becomes unavailable, the Creator Network or a Service may change, pause or cease. We will take reasonable steps to communicate material changes where practicable but are not liable for events outside our reasonable control.
Third-party tools, venues, brands, delivery services and community platforms are operated by others. Their terms and privacy practices may apply. Our introduction, integration or use of a third party is not a guarantee of its performance or an endorsement of all of its acts.
Events outside our control. To the maximum extent permitted by law, we are not responsible for delay, interruption, cancellation or failure caused by TikTok or third-party systems, cyber incidents not caused by our failure to take reasonable care, telecommunications outages, venue or supplier failure, illness, natural disaster, government action, industrial disruption, civil disorder or another event outside our reasonable control. We will take reasonable steps to communicate and mitigate a material impact where practicable. This paragraph does not extinguish a separately confirmed payment obligation that accrued before the event, although timing may be affected to the extent performance is genuinely prevented.
17. Liability and indemnity
Non-excludable rights. Nothing in these Terms excludes, restricts or modifies a consumer guarantee, privacy right, employment right, remedy or other obligation under the Australian Consumer Law, the New Zealand Consumer Guarantees Act 1993, Fair Trading Act 1986, Privacy Act 1988 (Cth), Privacy Act 2020 (NZ), or any other law to the extent it cannot lawfully be excluded or limited.
Excluded loss. To the maximum extent permitted by law, neither Stream Chasers nor Personnel is liable, under contract, tort (including negligence), statute, equity, restitution or otherwise, for indirect, incidental, special, exemplary, punitive or consequential loss, or for loss of expected profits, gifts, diamonds, bonuses, followers, opportunity, data, goodwill or reputation, arising from or connected with the Services, Platform or Creator Network. The listed categories are excluded whether characterised as direct or indirect loss, except to the extent that characterisation or exclusion is not permitted by law. This does not exclude an amount expressly payable under a separate written agreement.
Liability cap. To the maximum extent permitted by law, the combined aggregate liability of Stream Chasers and Personnel for all claims arising from the same or related events, whether under contract, tort (including negligence), statute, equity, restitution or otherwise, is limited to the greater of: (a) AUD 500 for an Australian Creator or NZD 500 for a New Zealand Creator; and (b) the Creator-Paid Fees actually paid for the specific affected Service in the preceding 12 months. For clarity, limb (b) does not include Agency Payments, TikTok or third-party payments, Creator earnings, gifts, diamonds, Platform bonuses, prizes, reimbursements, credits, or any amount calculated by reference to Creator performance. The cap does not apply to fraud or wilful misconduct by Stream Chasers or liability that cannot lawfully be limited.
Consumer guarantee remedy. Where a law permits us to limit a remedy for a failure to comply with a consumer guarantee, our liability is limited at our option to resupplying the relevant Services or paying the reasonable cost of resupply.
Creator indemnity. To the maximum extent permitted by law, you indemnify Stream Chasers against a third-party claim, regulatory demand and reasonable external legal costs, but only to the extent directly caused by: your Content infringing another person's rights; your material breach of these Terms or a TikTok Document; your unlawful, fraudulent or wilfully wrongful act; or conduct of a moderator or guest for whom you are responsible under these Terms. This indemnity does not apply to a direct claim you bring against Stream Chasers, does not require indemnification of a fine or penalty that cannot lawfully be indemnified, and is reduced to the extent our negligence, breach or wilful misconduct caused the loss.
Indemnity process. We must give reasonably prompt notice of a claim where practicable, take reasonable steps to mitigate loss, and allow you reasonable participation in the defence. We will not settle a claim in a way that requires an admission, non-monetary obligation or payment from you without your consent, which must not be unreasonably withheld. Stream Chasers may enforce this protection for losses it incurs in relation to Personnel.
18. Complaints, governing law and disputes
A Creator may raise a complaint about Stream Chasers, a Service or Personnel through an official channel or by emailing info@thestreamchasers.com. Where the concern involves the Creator's usual manager, the Creator may request escalation to a director or another appropriate Personnel member.
Before starting court proceedings about these Terms, the parties must give written notice of the dispute and attempt in good faith to resolve it for 30 days. This does not prevent urgent injunctive relief, a Platform report, a privacy or regulatory complaint, a small-claims application, or the exercise of a statutory right that cannot be delayed or excluded.
These Terms are governed by the laws of New South Wales, Australia. The parties submit to the non-exclusive jurisdiction of the courts of New South Wales and courts hearing appeals from them. Nothing prevents a court, tribunal or authority in Australia, New Zealand or another applicable jurisdiction from exercising mandatory jurisdiction or a Creator from relying on mandatory local consumer, privacy, employment or small-business protections.
Legal costs are determined under the ordinary rules of the relevant court or tribunal unless the parties agree otherwise in writing. Nothing in these Terms creates an automatic right for either party to recover all legal costs from the other merely because a claim is withdrawn, dismissed or unsuccessful.
19. General
Exercise of discretion. Where these Terms give us a discretion, we may decide whether, when and how to exercise it, but will act honestly, for a legitimate purpose connected with the Creator Network, and subject to applicable law and TikTok obligations. No person has a contractual right to require Stream Chasers to exercise a discretion in a particular way or at all. Eligibility, assistance, restraint, leniency, a previous decision, a pilot, a comparison with another Creator or an exception in one matter does not create a precedent or entitlement in another. These Terms may not be relied on by any person as a basis to demand, pressure or campaign for action against any Creator or against us.
Entire agreement and non-reliance. These Terms, the applicable TikTok invitation or agreement, and any specific written opportunity or paid-service terms form the entire agreement about Creator Network membership. Our Privacy Policy and collection notices describe our information-handling practices and operate as notices under applicable privacy law; they are not incorporated as contractual promises except to the extent expressly stated in these Terms or required by law. Each party remains responsible for checking material written terms. Nothing in this paragraph excludes liability for fraud, misleading or deceptive conduct, misrepresentation, a privacy obligation or another right that cannot lawfully be excluded.
Personnel protections and third-party rights. Stream Chasers enters into the exclusions, limitations, releases, indemnities and other protections in Sections 11, 14, 16, 17 and 19 for itself and as agent and trustee for each member of Personnel. Each member of Personnel is intended to receive and may rely on and enforce those protections to the extent permitted by applicable law, including as a beneficiary where New Zealand law applies. Except for those Personnel protections, these Terms do not give enforceable rights to a person who is not a party. TikTok remains a third party and has no obligation under these Terms.
Severability. If a provision is invalid, unlawful or unenforceable, it is to be read down to the minimum extent necessary and, if it cannot be read down, severed without affecting the remaining provisions.
No waiver and no course of dealing. A delay or failure to exercise a right is not a waiver. A waiver must be in writing and applies only to the matter stated. To the maximum extent permitted by law, a course of dealing, past practice, informal accommodation, goodwill gesture, tolerance of a breach or repeated provision of assistance does not amend these Terms or create a continuing obligation, representation or waiver.
Protected rights and disclosures. Nothing in these Terms prohibits or penalises a person for making a truthful statement, expressing an honestly held opinion, raising a concern or complaint in good faith, obtaining confidential legal or professional advice, preserving evidence lawfully, making a protected disclosure or whistleblower report, reporting to TikTok, police, a regulator, authority or court, participating honestly in a legal, regulatory or Platform process, or exercising a statutory right. This paragraph does not protect knowingly false, fabricated, malicious, threatening, harassing or unlawfully disclosed material, or publication that goes beyond what is reasonably necessary for the protected purpose.
Cumulative rights. Unless these Terms expressly state otherwise, rights and remedies under these Terms are cumulative and do not exclude rights or remedies available under law.
Assignment. You may not assign or transfer membership or these Terms to another person or account without our written consent. We may assign these Terms to an affiliate or successor in connection with a bona fide restructure, merger, acquisition or sale of the Creator Network, provided the assignment does not materially reduce non-excludable rights. We will give reasonable notice where practicable.
Electronic communications. You agree that agreements, notices and disclosures may be provided electronically, including by email, TikTok direct message, SMS or another official electronic channel. Electronic communications may satisfy a requirement for writing to the extent permitted by law. Acceptance of these Terms occurs only as described in Section 4, does not require a separate signature or reply, and is not inferred solely from completing TikTok's in-app joining steps or from passive receipt of a communication.
Survival. Sections 6, 10 (effect of exit), 11, 12 to the extent stated, 13, 14, 16, 17, 18 and 19 survive exit. Sections 9.5 and 9.6 survive only to the extent expressly stated and only for pre-exit conduct, continuing confidentiality or circumvention, legal preservation, TikTok obligations, or legal claims. Accrued rights and obligations also survive.
Headings and examples. Headings are for convenience. Words such as including and examples do not limit the general meaning of a provision. A reference to a law or TikTok Document includes amendments and replacements from time to time, subject to Section 4.
